Ismeen Terms of Service and End-User Licence Agreement
Last updated: 18 October 2026
1. The agreement
These terms are between SMBDM Technology L.L.C (Dubai Economy and Tourism licence 1652369, Office C-11, Al Khabaisi, Deira, Dubai, UAE — "we") and the business that signs up for Ismeen ("Customer"), and they also bind each person who uses Ismeen for the Customer ("User"). By creating an account or using Ismeen you accept them. If you accept for a business, you confirm you are allowed to.
2. What Ismeen is
A cloud accounting service for UAE businesses: bilingual English/Arabic books, invoices, bills, payments, bank reconciliation, VAT figures, month-end close, a firm console for accounting firms, and tools to move books in from QuickBooks Online or Xero.
3. Licence
We give the Customer a non-exclusive, non-transferable right to let its Users use Ismeen during the subscription, for the Customer's own business (or, for accounting firms, its clients' businesses). You may not: copy, resell or sublicense Ismeen; reverse-engineer it except where the law allows; break or test its security without our written permission; use it for anything unlawful or to hold data you have no right to hold.
4. Accounts and security
- Every User must use two-factor sign-in.
- Keep logins private; one login per person.
- The Customer's admin controls who has access and what role they have, and is responsible for what its Users do.
- Tell us at once at support@ismeen.com if you think an account is misused.
5. Your data
- The Customer owns its books and everything it puts in Ismeen ("Customer Data").
- We use Customer Data only to provide and secure Ismeen, as described in the Privacy Policy (
https://ismeen.com/privacy). For personal data inside the books, we act as the Customer's processor. - We do not sell Customer Data or use it to train AI models.
- You can export your data at any time in standard formats.
- Data is hosted by AWS in Frankfurt, Germany, with encrypted backup copies in Ireland.
6. Accounting firms
A firm using the firm console confirms it has its client's authority to put the client's data into Ismeen and to act on it. The client remains the owner of its books. If the firm's engagement ends, the client can ask us to move or delete its data; we will follow the client's documented instruction.
7. QuickBooks Online and Xero connections
- Connections are optional and made by you, through Intuit's or Xero's own sign-in screen.
- Ismeen reads only. It never writes, edits or deletes anything in QuickBooks Online or Xero.
- You can disconnect at any time, inside Ismeen or inside QuickBooks/Xero. We then delete the tokens and stop reading.
- Your use of QuickBooks Online and Xero stays under your own agreements with Intuit and Xero. They are not party to these terms and are not responsible for Ismeen.
- QuickBooks is a trademark of Intuit Inc.; Xero is a trademark of Xero Limited. Ismeen is not made, endorsed or supported by either.
8. Your responsibilities for the books
Ismeen is a tool. The Customer (and its accountant) remains responsible for its bookkeeping, VAT returns and filings with the Federal Tax Authority, and for checking figures before relying on them. Imports and side-by-side comparisons help you find differences; you decide what is correct.
9. Fees
Fees, billing period and what each plan includes are shown on the order or pricing page. Unpaid fees after 30 days' notice may lead to suspension (read-only access and export stay available for 30 days more).
10. Availability and support
We aim for high availability but do not promise the service will never be interrupted. We will announce planned maintenance in advance where we can. Support by email at support@ismeen.com on UAE business days.
11. Ending the agreement
- You may cancel at any time; the subscription runs to the end of the paid period.
- We may suspend or end access if you seriously breach these terms and do not fix it within 14 days of notice, or at once where the law requires or for a security threat.
- After the end: you have 30 days to export your data; we then delete it as the Privacy Policy says (backups roll off within a further 35 days). You may ask for earlier deletion.
12. Warranties
We will provide Ismeen with reasonable skill and care. Apart from that, and as far as UAE law allows, Ismeen is provided "as is" and we give no other promise (for example that it suits a particular purpose or is error-free).
13. Liability
- Neither side is liable for indirect loss, lost profit, or lost business, as far as UAE law allows.
- Our total liability in any 12 months is limited to the fees the Customer paid us in those 12 months (or AED 1,000 if no fees were paid).
- Nothing limits liability for fraud, wilful misconduct, gross negligence, or anything else the law does not allow to be limited.
14. Confidentiality
Each side keeps the other's non-public information confidential and uses it only for this agreement.
15. Changes to these terms
We will post changes here and email Customer admins at least 14 days before important changes apply. Continuing to use Ismeen after that means you accept them.
16. Law and courts
These terms are governed by the laws of the Emirate of Dubai and the federal laws of the UAE. The courts of Dubai (onshore Dubai Courts) have exclusive jurisdiction.
17. Language
These terms are written in English. If an Arabic version is published and the two differ, the Arabic text prevails before UAE courts unless the law says otherwise.
